DAO PATRONS CHARTER

PREAMBLE

This document serves to guide and regulate the actions and conduct of our membership. In order to ensure the integrity of the DAO, we as a collective seek to recognize the values of Merit, Equality, and Fairness for all. We strive to create a better way, and in doing so it is imperative to realize that despite our utmost good intent, there will come a time for betterment and change. It is with this understanding that we hope to provide a foundation to positively build upon. In order to achieve this balance, these guiding principles shall remain immutable.
On this day, October the Twenty-Sixth, year Two Thousand-and-Twenty One - I as the Governance Coordinator appointed by Mahadao hereby declare that within this Charter, neither Title, Preamble, nor Definitions are permitted to be changed or altered, except insofar as to the contents of By-Laws with condition. That condition being, that all changes must arise by nomination through the Governor and Senators that are elected by Vera Democratia, and such nominated change must carry the majority approval of all DAO Patrons.
It is through these measures, that we embrace the emergence of new times that beckon change, whilst supported by an immutable foundation that ensures the integrity of consensus, fairness, equality and greater representation of the people’s Will.

DEFINITIONS

’Appointed Authority’ - Shall refer to a Senator or Governor as defined below

’Governor’ - Refers to an elected member of Mahadao (by way of Vera Democratia).

’Senator’ - Refers to an elected member of Mahadao (by way of Vera Democratia).

’DAO Patrons’ - Refers to approved or pre-approved members within the MahaDao community that have met the criteria of this documented charter, including any official appointees, and excluding past/removed or deactivated members.

’DAO Member’ - Refers to Mahadao token holders that are active members of the various mahadao communities

’DAO Council’ - Refers to the body of all Senators and Governor.

‘Deadlock’ - Refers to a situation during a vote whereby the outcome between two or more candidates has equal scoring of votes.

‘Deactivation’ - Refers to the DAO patrons account receiving a forced ‘opt-out’ status, effectively removing the ability to receive rewards. A deactivated account will also see their allocation set to zero, disabling the ability to reward others. Deactivated accounts, while deactivated, will forfeit their voting rights until the account is reactivated by the Governor.

‘MahaDao’ - Refers to a collective including the mahadao company, employee, project, token, token holders, community members (insofar as they are natural persons) and members of the company, registered and or trading as Mahadao.

’Contributions’ - Refers to works done with the intended or actual effect of growing, supporting and improving MahaDao and its community - including but not limited too; the adoption and value appreciation of MahaDao Assets and Products.

’Profile Bio’ - Refers to the DAO Patrons account information that is associated to the reward system and or network that is being used by MahaDao.

’MahaX’ - Refers to the contractual locked state of the Maha governance token as recognized at the time of this charter’s creation. It excludes any forked, copied, imitation, property or object that attempts to emulate hereafter.

’Conduct’ - For all intents and purposes conduct shall refer to any behavior whether a positive act or an omission, that has a direct or oblique effect on Mahadao,

’MahaDao Charter’ - Refers to this document in its entirety and whole form.

’Voting’ - Refers to a direct voting system whereby each DAO Patron is able to cast one vote with the exception of the Governor, who if necessary shall be able to cast an additional vote in the event of a deadlock as defined above.

’Vera Democratia’ - Refers to a tournament styled voting process with specific ruleset for each voting tier. See fig 1.0 for reference.

By-Laws


1. INDUCTION OF DAO PATRONS

1.1 All new applicants to become DAO Patrons must complete an application (Apply for 'DAO Patron' Membership) or meet any and or all of the following requirements for consideration at the discretion of the DAO Council;

a). Applicants must hold a nominated amount of MahaX, as defined by the application form. This amount must be locked for 4 years and throughout their standing. Alternatively, applicants can opt for their initial DAO rewards to be vested to meet the criteria;

b). Applicants must submit an application form and introduction via Apply for 'DAO Patron' Membership and Community Members Introduction. Applicants must also have joined/followed MahaDao ‘Socials’ - Telegram (Main channel, Governance Channel, Announcement Channel), Twitter, and Discussion Forum at a minimum;

c). Applicants must attend a meeting with two or more DAO Council members, at which the conditions of the MahaDao Charter have been read and agreed upon;

d). After any or all of these conditions have been met, the DAO Council shall have the exclusive right to vote on the acceptance or rejection of any application to become an official DAO Patron. Approved applicants will be required to complete identity verification.


2. CONDUCT

2.1 All Dao Patrons and any Appointed Authority must conduct themselves with the utmost good faith at all times and inline with the guiding principles of this charter as well as other conduct including but not limited to educating the broader community, giving assistance where need be or contributing in other more skill specific areas. They shall not engage in any conduct that may be viewed as repugnant to the interests of Mahadao such as but not limited to;

a). Donations from one member to another sole member, must not exceed 20% of their individual monthly allocation;

b). Failing to include in their Profile Bio the thread link of their Community Members Introduction post;

c). Failing to remain active and not engaging with contributions while not opting out for the reward period of their inactivity;

d). Failing to itemize Contributions and submit such information where instructed by an Appointed Authority;

e). All DAO Patrons and any Appointed Authority must not engage in conduct that can be viewed as exploitative, damaging to brand, dishonest, defamatory and or anything that misrepresents the values of the MahaDao community;

f). All DAO Patrons and any Appointed Authority are limited to one account and registered wallet address. Under no circumstances are multi-accounts allowed;

g). All DAO Patrons are prohibited from rewarding anyone who has not yet detailed and submitted their Contributions where necessary for the respective month;

h). During the process of Vera Democratia and Voting, participants are prohibited from retracting and changing their vote once it has been submitted.


3. PENALTIES

3.1 In the event that a DAO Patron or any Appointed Authority engages in any of the conduct listed in section 2, they shall be subject to the following penalties;

a). Violation of 2.1(a) Penalty: Account deactivation period of no less than 2-months. With repeat consecutive offense, the deactivation period will be 6-months. Upon the third violation, the DAO Patron member will be removed;

b). Violation of 2.1(b) Penalty: Account deactivation until the Profile Bio of the DAO Patron accurately displays the thread link of their https://discuss.mahadao.com/t/community-members-introduction/236;

c). Violation of 2.1(c) Penalty: Account deactivation period of no less than 2-months. With repeat consecutive offense, the deactivation period will be 6-months. Upon the third violation, the DAO Patron member will be removed;

d). Violation of 2.1(d) Penalty: Account deactivation period of no less than 2-months. With repeat consecutive offense, the deactivation period will be 6-months. Upon the third violation, the DAO Patron member will be removed;

e). Violation of 2.1(e) Penalty: Any potential violation of section 2.1(e) may be brought to the attention of any Appointed Authority, whereby a dispute resolution process will commence. At the discretion of the Governor, the DAO Patron or Senator may be subject to any of the following; Deactivation,verbal or written warning, or removed. The duration and application of which will be decided by the Governor, taking into account both the conduct in question and any prior violations;

g). Violation of 2.1(f) Penalty: All multi-accounts, bot accounts, and associated accounts will be Removed permanently. Anyone who violates section 2.1(f) will be permanently removed;

h). Violation of 2.1(h) Penalty: The participant will be removed from the voting stage, and their vote will be considered invalid and not counted.


4. GOVERNOR & SENATORS

4.1 The Governor and Senators are elected by the people via the process of Vera Democratia - this process is immutable and embedded in the DAO Charter within both the Preamble and Definitions. This sections outlines further specifics of powers and conditions, including but not limited too;

a) Every 6 months, a vote will be held to determine if DAO Patrons wish to commence the process of Vera Democratia in order to elect for a change of Senators and or Governor. This will be held on December 21st and June 21st each year;

b) Senators have the responsibility for drafting and nominating changes to the Charter, making sure to observe the immutable limitations within the Preamble. Nominated changes will be put forward to vote ‘Yea or Nay’ by DAO Patrons, with the majority consensus taking effect. Senators will also ensure that DAO members are obeying by the Charter By-Laws, and can issue determinations of violations and penalties within the limitations of the Charter By-Laws. Senators may also aid in the facilitation of vote organization, verification inquiries, and induction process of new DAO Patrons;

c) Notwithstanding section 4.1.a), if an emergent event or situation arises, which necessitates the appointment of additional Senators to assist. This process via Vera Democratia may be commenced by a unanimous vote of the DAO Council;

d) Governor has the responsibility of enforcing penalties, and aiding Senators in their responsibilities and needs. In addition, the Governor will resolve voting deadlocks in accordance to the rules of Vera Democratia, and representing the majority will of the DAO Council. The Governor may also aid in the facilitation of vote organization, verification inquiries, and induction process of new DAO Patrons;

f) Senators, and the Governor must not accept any condition of quid pro quo, bribery, or any manner of personal gain in exchange for favored application of their powers that is not in accordance with the by-laws of the MahaDao Charter;

g) Senators, and the Governor are prohibited from re-election for no less than 1 year after the process of Vera Democratia has seen a change of hands;
